The following list contains a brief overview of some of the more interesting transactions in which I have participated as an associate at Skadden, Arps, Slate, Meagher & Flom LLP:

Venture Capital. Representation of an investor group in the acquisition of a controlling interest in a small company in the prepaid cellular telephone industry. Transaction closed in January, 1999.

Private Placement and Exchange Offer. Representation of Aluminum Company of America in a Private Placement and related Exchange Offer of $450 m of subordinated debt securities to finance an acquisition. The private sale transaction closed in June, 1998. Exchange Offer closed in October 1998.

Public Offering of Capital Securities. Public offering of $805 m of capital securities by an issuer trust formed by our client, International Paper Company, via a shelf registration statement. Transaction closed in September, 1998.

Initial Public Offering. Representation of Anthracite Capital, Inc. (REIT) in an Initial Public Offering of $368 m of common stock. Transaction closed in March, 1998.

Initial Public Offering. Representation of Gabelli Asset Management Company in connection with an Initial Public Offering. Transaction was suspended in May, 1998 shortly after the filing of an initial Registration Statement under the name Alpha G, Inc. and subsequently closed in early 1999.

Private Placement. Representation of Wasserstein Perrella Securities, Inc., as initial purchaser, in a Private Placement of $175 m of Senior Notes and $63 m of Senior Discount Notes of American Lawyer Media. Transactions closed in December, 1997.

Project Finance. Representation of First Philippine Holdings Corporation, as borrower, in connection with project financing facilities totaling $680 m for a 1,000 MW power project in the Philippines. The financing was provided by seven groups of international lenders and the transaction offered me the opportunity to spend three months in Asia, shuttling between Skadden's offices in Hong Kong and our client's offices in Manila. Transaction closed in September, 1997.

Hedge Fund. Set up a private hedge fund to manage certain personal assets of one the country's wealthiest families. The transaction closed in October, 1997.

Acquisition. Representation of Hexcel Corporation, one of the leading companies in the composite materials industry, in a $360 m strategic acquisition. Transaction closed in April, 1997.
